农村集体经济组织是特殊法人，具有类公司化的属性。农民集体经济组织成员权利就是农村集体经济组织的成员权。我国对农村广泛存在的农民集体及其成员权缺乏细致深入的研究。从某种程度上说，农村集体经济组织成员权构建的问题已经成为我国农村综合改革过程中的关键。农村集体经济组织成员权从性质上看属于"股东权"。农村集体经济组织成员权具体的权利内容可分为自益权和共益权两类，其中自益权包括生产经营设施使用权、土地承包经营权、征地补偿款分配权、宅基地使用权、股份分红权等；共益权主要体现为表决权、知情权等民主方面的权利。农村集体经济组织成员的自益权和共益权的救济，可以通过撤销权的行使、代位诉讼、知情权诉讼等方式展开。
Abstract:
Rural collective economic organization is a special legal person, and it has corporatization-like na-ture. The rights of rural collective economic organization members are the member’s rights of rural col-lective economic organization. In China, there is a shortage of thorough and meticulous research on farmers collectivity and its members, which extensively exists in rural area. To some extent, the con-struction of member’s rights of rural collective economic organizations has become a key issue during the comprehensive rural reform in China. Rural collective economic organization membership belongs to ‘stockholder’s rights’ in nature. The specific interests of rural collective economic organization member-ship can be divided into two types:self-benefit rights and common benefit rights, of which self-benefit rights include the right of using production and operation facilities, management right of contracted land, distribution right of land compensatory funds and stock dividend right, the right to use home-stead, etc. Common benefit rights are mainly shown in the democratic rights such as voting right and right to know. The relief for the self-benefit rights and common benefit rights of the rural collective eco-nomic organization members can be carried out through the exercise of cancellation right, subrogation lawsuit and the lawsuit relief of the right to know.
